Account Terms
1.You must be 13 years or older to use this Service.2.You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
3.You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
4.Your login may only be used by one person – a single login shared by multiple people is not permitted.
5.You are responsible for maintaining the security of your account and password. Preddle cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
6.You must take your own precautions to ensure that the process which you employ for accessing and using Preddle does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your own computer system.
7.You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).
8.One person or legal entity may not maintain more than one free account.
9.You must not access or use Preddle in any manner or for any purpose which:
(a) is illegal or prohibited by any laws that apply to you;
(b) violates our rights in any way; or
(c) is prohibited by these Terms of Service.
10.Preddle may suspend or terminate your access to Preddle or any part or feature of it, at any time and without notice if:
(a) you do not comply with the Terms of Service or if Preddle have reasonable grounds to believe that you are likely to breach them; or
(b) your Subscription Fee is unpaid or overdue; or
(c) Preddle has reasonable grounds to believe your Client Account or Access Details have been misused or compromised; or
(d) your Contract is expired or terminated in accordance with its terms,
11. The Terms of Service survive any such suspension, termination or cancellation of service, whether initiated by you or Preddle.
General Conditions
1.Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.2.Preddle shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
3.Technical support is only provided to paying account holders and is only available via email.
4.You understand that Preddle uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
5.Any use of Preddle other than an Authorised Use, including any attempt to reproduce, distribute, reverse engineer, sell, license or otherwise grant access to any part of PReddle to any third party, or use for any commercial purpose, is prohibited and will constitute an infringement of the Terms of Service.
6.You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, Preddle, or any other Preddle service.
7.You agree not to reproduce, duplicate, copy, sell, resell or exploit with malicious intent any portion of the Service, use of the Service, or access to the Service without the express written permission by Preddle.
8.Any word or device to which the Preddle trademark or a Preddle symbol is attached, is a trade mark in which we claim proprietary rights. If you use any of our trade marks in reference to our activities, products or services, you must include a statement attributing that trade mark to us. You must not use any of our trade marks:
(a) in or as the whole or part of your own trade marks;
(b) in connection with activities, products or services which are not ours;
(c) in a manner which may be confusing, misleading or deceptive; or
(d) in a manner that disparages us or our information, products or services.
9.Preddle reserves all rights, including copyrights and other intellectual property rights, whether statutory or common law based, in Preddle, and in all materials and content made available on the Preddle website (Our Content). Nothing in the Terms of Service or in the Subscription transfers or assigns any rights in Our Content to you.
10.We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
11.Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Preddle customer, employee, member, or officer will result in immediate account termination.
12.You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
13.You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.
14.You must not transmit any worms or viruses or any code of a destructive nature.
15.If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by Preddle) of other Preddle customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption.
16.Preddle does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
17.You expressly understand and agree that neither Preddle, nor our directors, officers, agents, employees or contractors shall be liable to you and you indemnify and hold us harmless in respect off any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Preddle has been advised of the possibility of such damages), resulting from:
(i) the use or the inability to use the service;
(ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service;
(iii) unauthorized access to or alteration of your transmissions or data;
(iv) statements or conduct of any third party on the service;
(v) or any other matter relating to the service.
(vi) any interference, loss or damage to your data, computer system, or mobile device which arises in connection with your use of Preddle.
18.The failure, or delay, of Preddle to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.
19.The Terms of Service constitutes the entire agreement between you and Preddle and govern your use of the Service, superceding any prior agreements between you and Preddle (including, but not limited to, any prior versions of the Terms of Service).
20.We do not accept any liability for our failure to comply with these Terms of Service where the failure is due to circumstances beyond our reasonable control.
21.Preddle may change the Terms of Service at any time by publishing those changes on the applicable URL. Your continued use of the Preddle after any changes to the Terms of Service have been made and published indicates your acceptance of those changes. Preddle recommends that you check the Terms of Service from time to time to see if they have changed.
22.If any of the Terms of Service are held to be invalid, unenforceable or illegal for any reason, the remaining terms and conditions will nevertheless continue in full force.
